WisePen Free School Trial Terms

These terms apply to the free school trial of the Dempower WisePen supplied by Aussie Pharma Wholesale Pty Ltd (“Aussie Pharma Wholesale”, “we”, “us” or “our”).
Trial summary
The WisePen trial allows an eligible Australian school to evaluate the device, at no trial fee, from the date of delivery until the invoice due date described in these terms (normally 30 days after the invoice date).
At the end of the trial, the school must either:

keep the WisePen and pay the invoice in full by its due date; or
-
notify us that it does not wish to keep the WisePen and return it in accordance with these terms, before the invoice due date.
If the school does not arrange the return by the invoice due date, it agrees to purchase the WisePen and pay the applicable invoice.
The purchase price and any other applicable charges will be disclosed before the school submits its trial application and confirmed in writing, together with the invoice date and due date, before the WisePen is dispatched.
1. The parties
The trial agreement is between:
-
Aussie Pharma Wholesale Pty Ltd, the Australian distributor of the Dempower WisePen; and
-
the school or educational organisation named in the trial application (“School”).
The staff member submitting the application confirms that they are authorised to apply for the trial and accept these terms on behalf of the School.
2. Trial eligibility and approval
The trial is intended primarily for Australian schools and educational organisations evaluating the WisePen for potential purchase.
Trial applications are subject to approval and product availability. We may contact the School to confirm its eligibility, delivery details, invoicing information or intended use before approving the application.
Unless otherwise agreed in writing, the trial is limited to one WisePen per School. A trial may not be transferred to another school, organisation or individual without our prior written approval.
Submitting an application does not guarantee approval. The trial agreement begins when we confirm the application and dispatch the WisePen.
3. Trial period
The trial begins on the date the WisePen is recorded as delivered to the School and continues until the due date of the invoice for the purchase price (Invoice Due Date), which falls 30 days after the date of that invoice.
We will confirm the delivery date, the invoice date and the Invoice Due Date by email. The School should contact us promptly if the WisePen is delivered late, cannot be located, arrives damaged or cannot be used due to a technical problem.
School holidays and closures do not automatically extend the trial period. However, the School may request an extension before the Invoice Due Date, and we may approve it in writing at our discretion.
4. Delivery and ownership
The WisePen remains the property of Aussie Pharma Wholesale throughout the trial period.
The School is responsible for the WisePen from the time it is delivered until either:
-
the purchase price has been paid in full; or
-
the returned device has been received by us or our nominated returns facility.
The School must not sell, transfer, dispose of, modify or allow a security interest to be created over the WisePen during the trial.
The serial number and condition of the supplied WisePen may be recorded before dispatch.
5. Using the WisePen during the trial
The School may allow staff and students to use the WisePen for reasonable educational evaluation under appropriate staff supervision.
The School agrees to:

use the WisePen in accordance with its instructions and intended purpose;
-
take reasonable care of the device and its accessories;
-
ensure students are appropriately supervised;
-
protect the device from loss, theft, liquid, impact and unauthorised modification;
-
comply with its own technology, privacy, safeguarding and acceptable-use policies; and
-
comply with all applicable laws and education-sector requirements.
The School is responsible for deciding whether the WisePen is appropriate for a particular student, learning activity, assessment or examination. Access arrangements and examination rules vary, and participation in the trial does not establish that the WisePen is approved for use in any particular assessment or examination.
The WisePen requires the user to visually locate printed text and perform a steady scanning motion. It is not designed for, and may not be suitable for, users who are blind or who have significant difficulty controlling hand movement. The School should take this into account when considering whether the WisePen is appropriate for a particular student’s needs.
Features that use artificial intelligence, translation, dictionary information or other automated functions may occasionally produce incomplete or inaccurate results. These features should support—not replace—appropriate teaching, professional judgement and independent verification.
Some AI, translation and chat features are provided using third-party artificial intelligence services. Using these features may send scanned or entered content, including text the School or students input, to those third-party services for processing, which may occur outside Australia. The School should take this into account before using these features with students, and should not use them for sensitive or confidential content without appropriate authorisation.
Internet access or a compatible connection may be required for some features. The School is responsible for its own internet, network and related charges.
6. Student information and device data
The School should avoid entering unnecessary personal or sensitive student information into the WisePen or associated services.
Before allowing a student to use the device, the School is responsible for determining whether any consent, notice or other authorisation is required under its privacy and technology policies.
If the WisePen is returned, the School must sign out of any accounts and remove or back up any content it wishes to retain. We may reset or erase a returned device as part of the inspection and refurbishment process, and information remaining on the device may not be recoverable.

7. Choosing to keep the WisePen
We will issue an invoice for the purchase price disclosed when the trial was approved at or around the time the WisePen is dispatched. Unless otherwise stated on the invoice or agreed in writing, payment is due within 30 days of the invoice date (the Invoice Due Date).
If the School wishes to keep the WisePen, it must pay the invoice in full by the Invoice Due Date, subject to any approved purchase order referred to below.
The School may also provide an approved purchase order if required by its internal purchasing process. An internal delay in obtaining a purchase order does not automatically extend the trial or payment period unless we agree to an extension in writing.
Once the School elects to keep the device, the purchase is also subject to Aussie Pharma Wholesale Pty Ltd’s Terms of Sale. If there is an inconsistency, these Trial Terms apply to the trial process and the Terms of Sale apply to the completed purchase.
The WisePen remains the property of Aussie Pharma Wholesale Pty Ltd until the purchase price has been paid in full. Ownership transfers to the School once the purchase price has been paid in full.
The WisePen’s AI features are supplied by the manufacturer with a monthly usage allowance (currently 200 AI credits per month for the first 12 months from activation). Unused credits do not carry over, and continued access to AI features after that period may require a separate paid membership with the manufacturer. This is separate from, and not included in, the purchase price paid to us.
8. Returning the WisePen
If the School does not wish to keep the WisePen, it must notify us on or before the Invoice Due Date using hello@aussiepharmadirect.com.au. Where the School notifies us before the Invoice Due Date, we will place the invoice on hold while the return is completed in accordance with this section.
We will provide return instructions and the applicable return address. Devices must not be returned without first obtaining these instructions.
Unless we agree otherwise, the School must lodge the return with a trackable delivery service within five business days after receiving the return instructions.
The School is responsible for the cost of returning the WisePen and for keeping the tracking information. If the device is faulty, was incorrectly supplied or must be returned because of our error, we will cover reasonable return costs where required by law.
The School remains responsible for the returned device until it is received at the nominated return location.
9. Required return condition
The WisePen must be returned:
-
in reasonable condition, allowing for fair wear from careful trial use;
-
with its original packaging, charging cable, accessories, guides and other supplied components;
-
without unauthorised modifications;
-
with accounts signed out and school or student information removed where reasonably possible; and
-
securely packaged to prevent damage in transit.
We do not expect the device to be completely untouched. Reasonable signs of careful evaluation will not result in a charge.
10. No response or late return
By accepting these terms, the School agrees that if it has not notified us before the Invoice Due Date that it wishes to return the WisePen, and the invoice has not been paid by that date, it will be treated as having elected to purchase the device at the price disclosed when the trial was approved, and the invoice remains due and payable.
Where the School has notified us before the Invoice Due Date that it wishes to return the WisePen, the invoice will be placed on hold while the return is completed in accordance with section 8. If the WisePen has not been received by us within a reasonable time after the return window described in section 8, we will give the School a final written notice allowing at least five business days to provide evidence of dispatch or pay the invoice in full. If neither occurs, the invoice becomes due and payable.
We intend to send a reminder shortly before the Invoice Due Date. However, the School remains responsible for recording the Invoice Due Date and responding by the deadline, even if a reminder is delayed, filtered or not received.
If exceptional circumstances prevent the School from responding or returning the WisePen on time, it should contact us as soon as possible. We will consider reasonable extension requests in good faith.
11. Lost, stolen, damaged or incomplete devices
The School must notify us promptly if the WisePen is lost, stolen or materially damaged during the trial.
The School will not be charged for:
-
fair wear arising from reasonable trial use;
-
an inherent product fault;
-
damage that existed when the device was delivered; or
-
loss or damage caused by us or our delivery provider.
If the WisePen is lost, stolen, damaged through misuse or returned with material components missing, we may charge the School the reasonable cost of repair, replacement or the missing components. Any charge will take account of the device’s condition and will not exceed the disclosed trial purchase price unless the School has agreed to additional charges.
We will provide details of the assessed loss or damage before issuing an additional invoice.
12. Faults and technical support
The School should contact us promptly if the WisePen does not operate as expected. We may provide troubleshooting assistance, arrange a replacement or extend the trial where appropriate.
A period during which the device cannot reasonably be evaluated because of a confirmed fault will not be counted against the trial period where we agree that an extension is appropriate, and we will adjust the Invoice Due Date accordingly.
13. Liability
Each party remains responsible for loss caused by its own breach, negligence or unlawful act. To the extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the trial was agreed.
To the extent permitted by law, our total liability arising out of or in connection with the trial — other than liability that cannot lawfully be excluded or limited, including consumer guarantees under the Australian Consumer Law — is limited to the purchase price of the WisePen.
This clause does not limit liability for personal injury, fraud, wilful misconduct, breach of confidentiality, or infringement of another party’s intellectual property rights.
14. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation.
Where the Australian Consumer Law applies, the WisePen comes with guarantees that cannot be excluded. These rights are in addition to any manufacturer’s warranty or voluntary warranty offered with the product.
15. Ending the trial early
The School may end the trial early by contacting us and returning the WisePen in accordance with these terms.
We may end the trial early if the School materially breaches these terms, misuses the device or provides false or misleading information in its application. Except where urgent action is reasonably required to protect the device, users or data, we will give the School a reasonable opportunity to address the issue before ending the trial.
If the trial ends early, the School must either return the WisePen or, with our agreement, purchase it at the disclosed price.
16. Changes to these terms
The version of these terms accepted when the School submits its application will apply to that trial.
We will not materially change the terms of an active trial without the School’s agreement, except where a change is required by law or is necessary to correct an obvious error without disadvantaging the School.
17. Governing law
These terms are governed by the laws of NSW. The parties submit to the courts of that state or territory and any courts entitled to hear appeals from them.

Acceptance
By submitting a WisePen trial application, the applicant confirms that:
-
they are authorised to apply and accept these terms on behalf of the School;
-
the School has reviewed and agrees to these WisePen 30-Day Free School Trial Terms;
-
the School understands that it must either purchase or return the WisePen at the end of the trial; and
-
the information supplied in the application is accurate.
